1. Research Use Only
Products offered by F3 Biosciences are supplied exclusively for legitimate laboratory, analytical, and scientific research purposes and are designated Research Use Only (“RUO”).
Products are not for human or veterinary use or consumption and are not intended for diagnosis, treatment, prevention, cure, mitigation, or therapeutic use.
Products must not be used as drugs, foods, cosmetics, household products, medical products, or for any other unauthorized purpose.
Our Research Use Policy is incorporated into these Terms by reference.
2. Customer Representations
By purchasing from F3 Biosciences, you represent and agree that:
- You are purchasing products solely for legitimate laboratory, analytical, or scientific research purposes.
- You will not use, administer, consume, or apply products to humans or animals.
- You have the knowledge, facilities, procedures, and qualifications appropriate for the research materials being purchased.
- You will handle, store, use, and dispose of products responsibly and in accordance with applicable laws, regulations, institutional requirements, and safety procedures.
- You will not misrepresent the intended use of any product.
- You will not resell or distribute products for unauthorized human, veterinary, diagnostic, therapeutic, or consumer use.
We reserve the right to request additional information regarding an order or intended research use and may decline or cancel an order if we reasonably believe it is inconsistent with these Terms, our Research Use Policy, applicable law, or our compliance requirements.
3. Product Information
We make reasonable efforts to provide accurate product descriptions, specifications, documentation, and other information. Product information may be updated as supplier documentation, testing, specifications, or inventory changes.
Documentation associated with a particular lot or batch should be evaluated in connection with that specific lot or batch. Customers are responsible for determining whether a product is appropriate for their intended research application.
4. Batch Vault and Documentation
F3 Biosciences may provide lot-specific documentation through our Batch Vault or other documentation systems. Available documentation may vary by product, supplier, and lot.
Documentation is provided for research and traceability purposes and does not constitute medical, veterinary, diagnostic, or therapeutic advice or authorization for any non-research use.
5. Orders and Acceptance
Submission of an order does not guarantee acceptance. We reserve the right to accept, reject, limit, hold, or cancel an order when reasonably necessary for inventory, payment, fraud prevention, compliance, research-use verification, legal, regulatory, or operational reasons.
If we cancel an order after payment has been collected, any refund due will be issued to the original payment method in accordance with applicable law and our applicable policies.
6. Prices, Payments, and Taxes
Prices are displayed in U.S. dollars unless otherwise stated and may change without notice. The price applicable to an order is the price shown at the time the order is submitted, subject to correction of obvious pricing or listing errors.
Payments are processed through authorized third-party payment processors. Applicable sales tax and other transaction-based taxes may be calculated and collected where required.
7. Shipping and Delivery
Shipping estimates are estimates and are not guaranteed delivery dates. Delivery may be affected by carriers, weather, holidays, address issues, regulatory requirements, or circumstances outside our reasonable control.
Customers are responsible for providing accurate shipping information and promptly reviewing delivered shipments.
8. Returns, Refunds, and Order Issues
Because research materials may be subject to handling, storage, traceability, integrity, and chain-of-custody considerations, return eligibility may be limited.
If an order arrives damaged, incorrect, incomplete, or otherwise has a fulfillment issue, contact F3 Biosciences promptly at support@f3biosciences.com with the order number and relevant details.
Refunds, replacements, returns, or other remedies will be evaluated based on the circumstances of the order and any applicable policy. Products should not be returned without authorization from F3 Biosciences.
9. Storage and Handling
Customers are responsible for appropriate receipt, storage, handling, security, use, and disposal of purchased materials. Applicable product or lot documentation should be reviewed before use.
10. Prohibited Conduct
You may not use our website or products to:
- Violate applicable law or regulation
- Engage in fraudulent or deceptive activity
- Circumvent purchasing or research-use restrictions
- Use products for human or veterinary administration or consumption
- Market or redistribute products for unauthorized therapeutic, diagnostic, or consumer purposes
- Interfere with the security or operation of our website or systems
- Misuse F3 Biosciences intellectual property, documentation, trademarks, or branding
11. Intellectual Property
Website content, branding, graphics, text, product presentation, Batch Vault materials, and other content created by or for F3 Biosciences are owned by F3 Biosciences or used with permission and are protected by applicable intellectual property laws.
Nothing in these Terms grants a license to use our trademarks, branding, or proprietary content except as expressly authorized in writing.
12. No Medical or Veterinary Advice
Nothing on our website, in product documentation, in communications from F3 Biosciences, or associated with our products constitutes medical, veterinary, diagnostic, treatment, dosing, or therapeutic advice.
13. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the website, services, information, documentation, and products are provided without warranties beyond those expressly stated in applicable product documentation or required by law.
F3 Biosciences does not warrant that any product is suitable for a particular research application. Customers are responsible for independently evaluating suitability for their intended research.
14. Limitation of Liability
To the fullest extent permitted by applicable law, F3 Biosciences will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the website, products, documentation, or unauthorized use of products.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
15. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless F3 Biosciences LLC and its members, managers, employees, and agents from claims, damages, liabilities, costs, and expenses arising from your violation of these Terms, misuse of products, unauthorized use, or violation of applicable law.
16. Privacy
Our collection and use of personal information is described in our Privacy Policy.
17. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except where applicable law requires otherwise.
18. Changes to These Terms
We may update these Terms from time to time. The current version will be posted on this page with its effective date. Continued use of our website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
19. Severability
If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
